The Market Abuse Regime

In order for the financial markets to operate fairly, efficiently and to be transparent, all participants have to behave in a way that doesn’t upset or influence the value of markets in a way that is ‘false’, by misusing information they have been given or by fraud.
The Market Abuse regime is now well established in the UK - there have been, and continue to be, a number of high profile cases of abuse vigorously pursued by the FSA. The Market Abuse Rules cover not only financial service firms, but ALL quoted firms including Energy Market Participants.

The course will be illustrated with a number of recent case studies for review and discussion,
and will provide the regulatory basics of insider dealing and disclosure rules. It will also cover the greater and progressive involvement of the EU in the publication of the Market Abuse Directive which affects all Member States.

The aim of the course is to provide attendees with a better awareness of what constitutes market manipulation and misleading statements, and why breaking the rules in these ways is not victimless.

Moving on to examining ‘insider dealing’ in detail, attendees should be able to understand who would qualify as being in a position to have or obtain 'inside' or 'privileged information' which might make them an insider in a case of insider dealing.

The course will expand on the current disclosure rules and what purpose they serve, particularly the way Directors Dealings are so critical to transparency in the markets.

Changes to regulation over the past decade will be highlighted to show how the market continues to try to ‘manage’ market abuse as a major area of risk.
